BoxandBuy Marketplace – Seller Terms & Conditions

These Terms & Conditions ("Agreement") govern your use of the BoxandBuy Marketplace as a registered seller. By registering and listing products on BoxandBuy (the “Platform”), you agree to abide by these terms and all related policies and procedures set forth by BoxandBuy.

1. Definitions

• “BoxandBuy” refers to the marketplace operated under BoxandBuy Business LLC/Inc.

• “Seller” or “You” refers to any individual or entity that lists and sells products through the BoxandBuy platform.

• “Customer” refers to the end user purchasing goods.

• “Commission” means the percentage deducted by BoxandBuy from each successful sale.

2. Eligibility

To become a seller, you must:

• Be at least 18 years of age

• Provide valid identification and business details

• Agree to these terms and our policies

• Have the authority to act on behalf of a business entity (if registering as a company)

3. Seller Obligations

By becoming a seller, you agree to:

• Provide accurate business and product information

• Maintain stock accuracy and pricing

• Handle orders, cancellations, returns, and disputes professionally

• Ensure all goods are legally compliant and safe

• Respond to customer queries within 48 hours

• Ship items within the timeframe you specify on your listings

• Not sell counterfeit, illegal, restricted, or hazardous items

• Not attempt to solicit buyers off-platform

4. Product Listings

• All listings must include a clear product title, detailed description, images, and pricing.

• You are responsible for ensuring your listings are not misleading or fraudulent.

• BoxandBuy reserves the right to review, edit, or remove listings that violate policies or quality standards.

5. Commissions & Fees

• A standard commission of 10% will be deducted from the final sale price (excluding shipping and tax).

• Additional fees may apply for promotional services or enhanced visibility listings.

• Commission rates are subject to change with prior notice.

6. Payments & Payouts

• Payments from customers will be collected by BoxandBuy and held until the order is confirmed delivered or completed.

• Payouts will be made biweekly to the seller's registered payout method (Stripe, PayPal, or bank account).

• Minimum payout threshold: $50.

• Sellers are responsible for any transaction, currency conversion, or payout gateway fees.

7. Shipping & Fulfillment

• Sellers must clearly indicate delivery timelines and shipping costs.

• Tracking information should be provided promptly after shipment.

• Sellers are liable for shipping delays, lost packages, or misdelivery if caused by their actions.

8. Returns, Refunds & Disputes

• Sellers must clearly state their return policy.

• In case of a dispute, BoxandBuy may intervene to mediate and resolve issues fairly.

• Sellers may be required to offer refunds if the product is defective, not as described, or undelivered.

9. Taxes

• Sellers are responsible for determining, collecting, and remitting applicable taxes based on their local and national regulations.

• BoxandBuy may provide tools to assist with tax calculation but makes no guarantees of compliance.

10. Account Suspension or Termination

BoxandBuy reserves the right to suspend or permanently remove any seller for:

• Violation of these terms

• Repeated customer complaints

• Fraudulent or abusive activity

• Sale of restricted or illegal items

11. Intellectual Property

• Sellers must have the legal rights to use all brand names, logos, and product content they list.

• BoxandBuy may take action against IP violations, including removal of listings and account suspension.

12. Limitation of Liability

• BoxandBuy is not liable for losses incurred due to seller misconduct, buyer fraud, or shipping issues.

• BoxandBuy does not guarantee sales performance or listing visibility.

13. Amendments

BoxandBuy may amend these Terms & Conditions at any time. Sellers will be notified by email and/or dashboard notification. Continued use of the platform after changes implies acceptance.

14. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of [Province/State], [Country], without regard to conflict of law principles.

BoxandBuy Commission Rate Agreement

This Commission Rate Agreement (“Agreement”) is entered into by and between the Seller (“You”) and BoxandBuy Business LLC/Inc. (“BoxandBuy”) upon registration and participation in the BoxandBuy Marketplace.

1. Commission Structure

BoxandBuy shall retain a commission from the gross sales revenue of each successfully completed transaction on the marketplace.

• Standard Commission Rate: 10% of the total item price (excluding taxes and shipping).

• This fee is automatically deducted before seller payouts are processed.

2. Scope

This commission applies to:

• All product categories unless otherwise specified.

• All sales made through the BoxandBuy platform, including web and mobile interfaces.

3. Changes to Commission

BoxandBuy reserves the right to update or revise the commission structure with 7 days’ prior notice. Sellers will be notified via email and/or seller dashboard.

4. Payouts

• Commission is deducted before disbursement.

• Net sales (after commission and applicable transaction fees) will be paid to the seller based on the payout schedule (e.g., weekly).

• A minimum payout threshold of $50 applies.

5. Taxes

Commission does not include applicable federal or State/provincial taxes. Sellers are responsible for their own tax filings and obligations.

6. ✅ Acknowledgement

By continuing to use BoxandBuy as a Seller, you acknowledge and agree to this Commission Rate Agreement and authorize BoxandBuy to deduct the stated commission from your sales revenue.

BoxandBuy Content & Product Authenticity Policy

At BoxandBuy, we are committed to maintaining a marketplace that values authenticity, transparency, and trust. This Content & Product Authenticity Policy outlines the requirements all sellers must follow when listing products and creating content on the BoxandBuy platform.

1. Authentic Products Only

Sellers must only offer genuine, original, and legally sourced products. Prohibited items include (but are not limited to):

• Counterfeit or pirated goods

• Unauthorized replicas or “look-alikes”

• Knockoffs or items using brand names, logos, or designs without proper licensing

BoxandBuy has a zero-tolerance policy toward counterfeit goods. Sellers found in violation may have their listings removed or accounts suspended without notice.

2. Truthful Product Descriptions

All product listings must accurately describe the item being sold, including:

• Brand, model, and condition

• Technical specifications or features

• Product images (which must represent the actual item or approved manufacturer stock photos)

Sellers must not mislead buyers with exaggerated claims or irrelevant tags.

3. Intellectual Property Compliance

Sellers are responsible for ensuring their content does not infringe on the intellectual property (IP) rights of any third party, including:

• Copyrighted images or text

• Trademarks, logos, or branding

• Patented designs or utility models

Sellers must hold the appropriate rights or licenses to use any protected content.

4. Packaging and Labeling Accuracy

If a product is represented as being from a specific brand, the item must be packaged and labeled accordingly and match buyer expectations upon delivery. Mislabeling or substitution is grounds for removal and legal action.

5. Documentation and Proof

BoxandBuy reserves the right to request the following at any time:

• Proof of purchase or supplier invoice

• Certificates of authenticity

• Manufacturer authorization letters

Failure to provide proof may result in product delisting, account suspension, or legal reporting.

6. Monitoring and Enforcement

BoxandBuy actively monitors listings for policy violations. Actions taken may include:

• Warning notices

• Immediate product removal

• Temporary or permanent account suspension

• Legal referral for egregious or repeat offenses
